Terms of Service

"Software" — the Notify notification platform including source code, templates, documentation, and addons. "License" — the right to use the Software granted under these Terms. "Licensee / you" — the individual or organisation that has acquired a License. "We / Notify" — the provider of the Software. "Installation" — an instance of the Software deployed on Licensee-operated infrastructure. "Permitted Use" — sending transactional notifications from Licensee's own platforms to Licensee's own contacts.

Subject to compliance with these Terms and payment of applicable fees, Notify grants you a non-exclusive, non-transferable, worldwide license to install and operate the Software on your own infrastructure for Permitted Use, modify the Software for integration with your own systems, and create custom templates and addon packages for your own exchange brands. This license does not grant the right to sublicense, resell, redistribute, or commercially exploit the Software as a standalone product or competing service.

You must not: use the Software to send unsolicited commercial messages (spam); redistribute, resell, or offer the Software as a service to third parties; remove or alter copyright notices or license headers; use the Software in violation of applicable laws; or use the Software to facilitate fraudulent activity, money laundering, or other financial crimes.

Your license includes Software updates for the period specified in your license agreement (typically 12 months). Updates include bug fixes, security patches, new exchange packs released during the update period, and minor feature additions. After the update period expires, your Installation continues to operate normally. Renewal is available at the then-current rate. Support is provided by email; response times depend on your license tier.

License fees are due in advance of software delivery and are stated exclusive of applicable taxes. Refunds are available within 14 days if the Software fails to install in a supported environment and the issue cannot be resolved through our support process. No refund is available after successful installation and first use.

The Software and all associated materials are the intellectual property of Notify and protected by applicable copyright laws. These Terms do not transfer ownership rights to you. You retain ownership of custom templates and addon packages you create, your customer contact data stored in your Installation, and any configuration modifications specific to your environment.

As a self-hosted platform, all personal data processed through your Installation — contact records, notification logs, SMTP credentials — is stored on infrastructure you control. You are the data controller for this data and are responsible for compliance with applicable privacy and data protection laws. We do not have access to your Installation or any data within it.

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOTIFY DISCLAIMS ALL WARRANTIES INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Software will be error-free, uninterrupted, or fit for any specific regulatory compliance requirement.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOTIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SOFTWARE. Notify's total aggregate liability shall not exceed the license fees paid by you in the 12 months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Notify from and against any claims, liabilities, damages, and expenses arising from: your use of the Software in breach of these Terms; your violation of any applicable law; or claims by your end-users arising from notifications sent through your Installation.

These Terms remain in effect until terminated. Notify may terminate your License with immediate effect if you breach these Terms and fail to remedy the breach within 14 days of notice. Upon termination your right to use the Software ceases immediately and you must destroy all copies in your possession. Provisions that by their nature should survive termination will continue to apply.

These Terms are governed by and construed in accordance with applicable law. Disputes not resolved through good-faith negotiation shall be submitted to the exclusive jurisdiction of the competent courts. If any provision is found unenforceable, the remaining provisions continue in full force and effect.

We may revise these Terms from time to time. For material changes, we will notify existing license holders by email or via an update notification in the admin panel. Continued use after the effective date constitutes acceptance of the updated Terms.
